At Innovando Swiss, transparency is not a formal requirement. It is a structural principle. The credibility of an organisation is founded on the clarity of its ownership structure, the coherence of its governance, and the explicit assumption of professional responsibility.

This page describes the corporate structure, ownership model, control mechanisms, and ethical framework that govern our activity.

Corporate structure

Innovando Swiss operates through Innovando GmbH, a limited liability company (GmbH) incorporated and registered in the Canton of Appenzell Innerrhoden, Switzerland.

Within the same legal perimeter, the company carries out editorial activities and digital services in compliance with Swiss commercial law. Its organisational, administrative, and tax structure is entirely governed by Swiss legislation.

Ownership and beneficial owners

The formal ownership of Innovando GmbH is held by Fiduciaria Dini Sagl, based in Lugano, acting under a fiduciary mandate exclusively on behalf of the beneficial owners and founders, Andreas Arno Michael Voigt (CEO) and Elisa Mazzelli (CFO).

There are no third-party shareholders, corporate groups, or political entities with ownership interests or powers of control or direction.

Strategic and operational governance remains entirely with the founders, who exercise full decision-making autonomy and management responsibility.

Fiduciaria Dini Sagl also carries out accounting supervision and financial control activities, ensuring administrative correctness, tax compliance, and adherence to applicable Swiss legislation.

The corporate structure is entirely Swiss.

Financial independence

Innovando Swiss does not receive state subsidies, public funding, or institutional grants.

The organisation is self-sustained through professional activities aimed at the private sector, including digital strategic consulting, web development, editorial production, and related services.

Revenues derive from transparent contractual relationships and are managed according to criteria of economic sustainability, traceability, and administrative responsibility.

Editorial independence

The separation between economic interests and editorial decisions is a binding operational principle.

Publication choices follow criteria of methodological rigour, verifiability of sources, and responsibility towards the public. No client, commercial partner, or external party may exercise control, veto, or direction over editorial content.

Editorial autonomy is an integral part of governance.

Journalistic responsibility and ethical framework

The editorial activity of Innovando Swiss is carried out in compliance with the ethical principles applicable to the journalistic profession in Switzerland.

The founders exercise the editorial function and assume full professional and personal responsibility for it. Editorial responsibility is personal and cannot be delegated.

Innovando Swiss recognises the role of the Swiss Press Council as the reference body for matters of informational accuracy and places itself within the framework of the principles it expresses.

Ethical responsibility is not separate from the corporate structure: it is an essential element of it.

Management of conflicts of interest

Any situations of potential conflict of interest, whether direct or indirect, are managed through internal procedures for role separation, decision traceability, and, where necessary, explicit disclosure.

Credibility is built through coherent and verifiable practices.

Regulatory standards and updates

Innovando GmbH operates in compliance with Swiss corporate law applicable to GmbHs, current accounting and tax provisions, and the regulations relevant to its activities.

This statement is reviewed periodically and updated in the event of significant changes to the corporate structure, internal policies, or applicable regulatory framework.
